The Role

As a Corporate Secretary, you will work with very senior individuals across the firm, and will be exposed to a variety of tasks including:

  • Day-to-day administration tasks for AIFM, funds and corporates

  • Coordination to schedule meetings (boards, shareholders meetings and committees)

  • Coordination the preparation and review of meeting minutes and related documents such as Board packs, minutes, notarial deeds, and agreements

  • Coordination of jormalities (power of attorney, Managers/Directors change, apostilles)

  • Coordination of incorporation,administration,andliquidationof companiesincludinghandlingall kindsof corporate events

  • Coordination of timely f iling of periodic company documentation

  • Monitoring the legal good standing (RCSL/ RBE) of funds and related entities

  • Supervising maintainance of accurate legal records and internal datab ases

  • Implementing processes or systems to help ensure best practice management of the organisation or compliance with legislation

  • CommunicatingwithexternalprofessionalsinvolvedincorporategovernanceforAIFM,fundsand corporates

Ideally you will have the following

  • Degree educated (a degree in Law would be an advantage) or equivalent

  • Minimum of 5 years of relevant working experience, not necessarily in a company secretary role, but within the Luxembourg fund industry (working with alternative investment funds would be considered as advantage)

  • A good knowledge of the fund environment (regulated /unregulated)

  • Strong Excel / PowerPoint / Word skills and an ability to quickly grasp new software skills quickly
