Position Summary

The Senior Counsel and Assistant Corporate Secretary, Corporate and Transactions is responsible for providing advice, legal counsel and risk assessment to the Company regarding SEC and NYSE reporting and compliance, corporate governance matters, corporate secretarial support, capital markets affairs, finance and M&A. Serves as the primary legal support for a variety of business professionals, such as senior management, company executives and/or leadership of key support functions including accounting, finance, treasury, tax, corporate development and investor relations. Occasionally will assist legal commercial group in operational and commercial transactions.

Essential Duties & Responsibilities

  • Working with and supporting the Corporate Secretary on matters for Kodiak Gas Services, including supporting all aspects of corporate governance, updating Board and Committee charters, coordinating D&Os questionnaires, assisting in the preparation of Board materials and monitoring corporate governance developments;

  • Reviewing and/or preparing, in conjunction with SEC reporting group, SEC and NYSE filings, including Annual/Quarterly Reports on Forms 10-K/Q, and Current Reports on Form 8-K;

  • Preparing annual Proxy Statement – coordinating with Human Resources, Finance, Investor Relations, Sustainability and other groups;

  • Filing Annual/Interim Written Affirmation with the NYSE;

  • Providing counsel regarding compliance with SEC rules, NYSE listing standards, Sarbanes-Oxley standards, and all other applicable corporate governance requirements;

  • Advising Investor Relations regarding earnings releases and Regulation FD compliance;

  • Reviewing Investor Relations press releases, investor decks and other significant public disclosures;

  • Assisting on significant corporate financing transactions in coordination with the Treasury and Finance Departments;

  • Assisting on all debt offerings, including coordinating with outside counsel on reviewing prospectus supplements, registration statements, indentures, underwriting agreements and all ancillary documents, as well as coordinating due diligence;

  • Assisting on all equity offerings and buybacks, including coordinating with outside counsel on reviewing prospectus, memorandum, registration statements, underwriting agreements and all ancillary documents as well as coordinating due diligence;

  • Assisting with dividend process;

  • Assisting on all mergers, acquisitions and divestitures;

  • Preparing Section 16 filings;

  • Stay up-to-date on securities-related regulatory developments and provide tailored advice regarding potential impacts and solutions

  • Overseeing paralegal and others on all aspects of subsidiary maintenance;

  • Preparing and advising regarding intercompany and entity restructuring;

  • Preparing and advising on certain executive officer and director compensation disclosures;

  • Providing corporate legal advice to philanthropic board;

  • Provide guidance to paralegals and/or other attorneys

  • Assisting commercial legal team with commercial and operational agreements, including customer and vendor contracts; and

  • Assisting sustainability and regulatory team with various projects.

Education & Certifications

  • J.D. from accredited university with a preference for top-tiered university

  • Must be licensed to practice law in the United States

Work Experience

  • Minimum years’ experience with large law firm counsel in corporate securities group

Skills & Abilities

  • Strong verbal and written communication skills

  • Strong ability to perform research, synthesize and articulate findings

  • Strong management and multitasking skills

Physical Demands

  • Must be able to remain in a stationary position 75% of the time

  • Constantly operate a computer and other office productivity machinery, such as a copy machine and computer printer

  • Frequently communicates with other employees about their legal inquiries. Must be able to exchange accurate information in these situations

  • Must be able to work under pressure and occasional long or irregular hours
