Summary

The Corporate Counsel provides a broad range of transactional legal support to a growing, innovative, technical company. Reporting to the Senior Counsel, the Corporate Counsel works closely with the company’s management on important strategic matters, supports functional leaders as a team member on corporate projects and assists the Senior Counsel. Additionally, one provides contractual support on commercial contracts for business and functional area leaders.

Position Responsibilities

  • Drafts, reviews, and negotiates a variety of complex commercial contracts, including but not limited to vendor agreements, leases, supply agreements, intellectual property licensing agreements, service agreements, and non-disclosure agreements

  • Identifies and evaluates legal and business risks associated with contracts and develops strategies to mitigate such risks

  • Provides practical, business-oriented legal/commercial contract advice to Legal & Compliance Department team members and business clients across company

  • Helps formulate and draft company policies and procedures

  • Assists in resolving legal disputes and litigation matters, including by coordinating with outside counsel

  • Advises on legal issues involving the organization's government and regulatory compliance

  • Maintains knowledge of current relevant laws, regulations, and industry guidance that impact the company’s business

  • Other duties as assigned

Basic Qualifications (Required Skills & Experience)

  • Juris Doctor (J.D.) degree from a top ABA-accredited law school is required

  • Bar admission in any state required; California Bar is preferred

  • Minimum of 5+ years of corporate transactional law experience required

  • Experienced working in the corporate department of a nationally recognized law firm preferred

  • Experienced in general corporate and transactional matters, including drafting transactional documents and contracts

  • Proficient in MS Office and other office software productivity tools

  • Occasionally may be required to travel within the Continental U.S.

  • Takes ownership and responsibility for current and past work products

  • Is committed to learning from mistakes and driven to improve and enhance performance of oneself, others, and the company

  • Focuses on teamwork and puts the success of the team above one's own interests

Physical Demands

  • Ability to work in an office environment (Constant)

  • Required to sit and stand for long periods; ability to operate a computer and telephone keyboard (Frequent)

The salary range for this role is:

$153,308 - $217,140

This position requires access to information that is subject to compliance with the International Traffic Arms Regulations (“ITAR”) and/or the Export Administration Regulations (“EAR”).
