Job Summary Alongside the General Counsel and Executive Assistant to the CEO, this position supports all governance operations in the CareOregon Corporate family across all legal entities and ensures all governance related regulatory requirements are met. Additionally, this position prepares, and reviews select corporate and legal documents as assigned, including, contracts, grants, summaries of board meetings/materials, and other collaborative and transactional agreements. Essential Responsibilities Work to improve the department's processes, policies, and procedures. Complete a variety of projects as assigned within time constraints. Governance Operations Develop draft meeting agendas in collaboration with CEO and Board Chair. Maintain meeting minutes, codify actions, prepare consents, identify action items, and coordinate follow-up. Develop and facilitate the process of annual committee evaluations, periodic Board assessments and performance improvement actions. Generate board policies when needed. Assist the Board Chair and Committee Chairs in fulfilling their roles. Communicate progress on a regular basis to the Board relating to special projects. Support CCO governance staff in adopting standardized practices and record-keeping. Answer questions from staff on best practices in governance operations. Identify and implement process improvements. Drafting Draft contracts, grants, summaries, correspondence and other transactional documents. Revise, proofread and format nonprofit organization documents and correspondence. Organize information and aid attorneys by producing accurate, timely, complete and thorough work product. Word process correspondence and simple to complex legal documents and forms; apply track changes, formatting, and styles; proofread, format, edit, label and redact documents; and compare documents using document comparison software and produce redline comparison. Prepare filings for tax-exempt organizations, including state registrations and IRS applications for recognition of tax-exempt status.
