The General Counsel – Licensing and Electronic Solutions is responsible for the legal affairs of the Strategic Licensing team for all of Aerospace Technologies. They will provide legal counsel and support for certain business segments of Aerospace Technologies Electronic Solutions SBU and act as the Law and Contracts focal for all working capital related issues. This position is in Phoenix, AZ and will report to the Vice President & General Counsel for Electronic Solutions, Services & Connectivity, and Licensing.

Key responsibilities include:

  • Working with the Strategic Licensing team to develop licensing opportunities, including developing solutions to legal issues and managing legal approvals for all of Aerospace Technologies.

  • Reviewing, negotiating, and drafting strategic licensing agreements and providing interpretations of licensing contract language to support the Strategic Licensing team.

  • Reviewing, negotiating, and drafting strategic partnership agreements in the supported business segments.

  • Providing leadership, support, and guidance to the responsible Aerospace contracts team in developing and negotiating customer contracts and license agreements for Electronic Solutions and Strategic Licensing.

  • Providing strategic and tactical legal analysis and support to settle disputes with customers, licensees, and partners.

  • Implementing legal strategies for growth and to protect the business’s interests and mitigate risks.

  • Supporting the due diligence, transactional negotiation, and integration processes on mergers & acquisitions out of Electronic Solutions.

  • Leading key initiatives within the Law & Contracts function to drive business growth.

  • Serving as the Law and Contracts focal for working capital issues.

You Must Have:

  • Juris Doctorate from a nationally recognized law school.

  • Membership in a State Bar.

  • Five plus years of legal experience in a law firm and/or in-house environment in mergers and acquisitions.
