Affordable Care Corporate Paralegal in Morrisville, North Carolina

Overview

Affordable Care is looking for a Corporate Paralegal with a strong corporate background for our headquarters in the Research Triangle Park / Morrisville, North Carolina. Affordable Care is a national leader in tooth replacement, dentures, & implants and we are expanding our nationwide operations.

Position Overview

This role will support the Affordable Care Legal Department and is part of a multi-person team of legal professionals. We are seeking a dynamic and enthusiastic individual who will provide customer service and assistance in a variety of legal and administrative support matters pertaining to corporate governance and contract administration. A key component of this role will be filing and tracking corporate governance and healthcare regulatory requirements for affiliates all over the country. We currently support over 400 dental practices in 42 US States.

Responsibilities

Responsibilities:

  • Handle requests for US legal entity support, including: drafting and filing Articles of Incorporation, obtaining federal EIN’s, fictitious business name filings, ultimate beneficial owner (UBO) reports; notarization; and/or other routine corporate documents for variety of entities (LLCs, C-Corps, etc.)

  • Research, prepare, and file registrations with state Dental Boards for each supported dental practice

  • Oversee US legal entity maintenance, including reviewing required state-level filings (e.g., , SOI’s, publication requirements, qualifications, withdrawals, cancellations, and amendments); drafting resolutions, written consents, and officer certificates

  • Maintain filing deadlines on appropriate calendars, spreadsheets, databases and other resource documents for legal department to effectively track filing registrations, entity status, and renewals

  • Act as primary liaison with U.S. registered agent

  • Assist with corporate and affiliate transactions (acquisitions, mergers, dissolutions, etc.)

  • Assist with contract execution processes and ensures appropriate processing of contracts, including employment and vendor contracts

  • Support the development and transmission of contract materials to internal and external customers

  • Evaluate and recommend changes in existing processes to improve efficient operation of programs and contract management

  • Draft documents with oversight from department attorneys

Qualifications

Skills:

  • Ability to work on time sensitive matters quickly and reliably

  • Strong bias for action, and ability to pivot regularly with shifting priorities

  • Exceptional level of organization and attention to detail

  • Strong customer service orientation and ability to communicate with senior executives

  • Ability to work with limited supervision, anticipate what is needed and effectively communicate

Qualifications:

  • Undergraduate degree in related field desirable

  • Paralegal certification preferred, but not required

  • Familiarity with large and complex organizations, with multiple businesses and subsidiaries

  • Experiencing researching what is needed to open and establish business entities nationwide, and complete associated necessary tasks

  • Good digital literacy. Proficient with MS Office tools, SmartSheets, and DocuSign.

  • 3 years minimum working in a paralegal or similar capacity in a corporate, contract-centric environment

  • Has familiarity with legal terminology and principles, and general knowledge of broad-based substantive legal matters

  • Must be on-site at least 4 days/week
