Description

Robert Half is partnering with a Well-Known Company; and seeking a Contracts Attorney. The attorney will focus on ensuring the organization’s contracts comply with relevant legal and business standards while identifying risks and summarizing findings effectively. The ideal candidate will have experience with licensing agreements, clinical trials contracts, and exposure to data privacy regulations.

Key Responsibilities:

  • Contract Review and Analysis: Review and analyze business contracts related to clinical trials, analytics services, and sales-related agreements.

  • Due Diligence: Perform detailed due diligence on contracts to assess risks, identify gaps, and ensure compliance with legal and organizational standards.

  • Contract Management: Access and manage contracts through a centralized repository system.

  • Risk Assessment: Identify risks in contract terms, termination provisions, licensing/IP issues, and expiration dates, and provide summaries of findings.

  • Licensing Agreements and Clinical Trials: Draft, edit, and negotiate licensing agreements and clinical trials contracts.

  • Privacy and Regulatory Exposure: Address data privacy considerations and offer insights on related legal issues, with exposure to the cell therapy field considered an advantage.

  • Gap Identification: Evaluate contract structure and terms to identify any omissions or vulnerabilities that require resolution.

    Requirements

  • Juris Doctor (JD) degree from an accredited law school and active membership in good standing with a state bar.

  • Minimum 3-5 years of experience in contract law with a focus on healthcare or life sciences industries.

  • Demonstrated expertise in licensing agreements and clinical trials contracts.

  • Exposure to data privacy regulations and practices strongly preferred.

  • Strong due diligence and contract analysis skills.

  • Ability to identify risks, summarize findings, and offer actionable recommendations.

  • Familiarity with licensing/IP terms and regulatory frameworks applicable to healthcare agreements.

  • Proficiency in managing contracts through repository systems.
