Reference #: 5001051362206 Utz Quality Foods is seeking a Corporate Counsel, Real Estate to join our Legal team. This position is responsible for managing and overseeing all legal aspects related to the company's real estate transactions and portfolio. This includes providing legal advice and support in property acquisitions, leases, dispositions, development projects, and real estate financing. The role involves ensuring compliance with real estate laws and regulations, mitigating risks, and protecting the company's interests in all real estate-related matters. This position can be worked remotely, preference is given to candidates in or around Hanover, PA. Occasional travel may be required for property site visits, meetings, or court appearances will be required.

Candidates must have 5 years of experience in real estate law, preferably within a corporate legal department. Candidates must have a J.D. and an active license to practice.  Excellent communication and negotiation skills as well as keen attention to detail are essential in this position. Candidates should be able to demonstrate strong knowledge of real estate law, including but not limited to, transactions, development, leasing, and finance.

Corporate Counsel, Real Estate: Handle all legal aspects of real estate transactions, including acquisitions, dispositions, leasing, and financing. Draft, review, and negotiate purchase agreements, leases, sale contracts, and other related documents. Conduct and oversee due diligence for real estate transactions, including title searches, environmental assessments, zoning and land use analysis, and property inspections. Identify and address any legal issues that may arise. Draft, review, and negotiate contracts and agreements related to real estate, including construction contracts, property management agreements, and service agreements. Ensure compliance with federal, state, and local real estate laws and regulations. Advise on zoning, land use, environmental regulations, and other legal requirements. Manage and oversee real estate litigation and disputes. Represent the company in legal proceedings and work with external counsel as necessary. Handle disputes, breach of contract claims, and other real estate-related legal issues. Provide legal support for real estate development projects, including negotiating and drafting development agreements, advising on land use and zoning issues, and ensuring compliance with regulatory requirements. Identify and mitigate legal risks associated with real estate transactions and ownership. Develop and implement risk management strategies and policies. Collaborate with other departments, including finance, operations, and facilities management, to provide legal support and advice on real estate matters. Support corporate real estate strategy and initiatives. Maintain accurate records of all real estate transactions, contracts, and legal documents. Ensure proper documentation and compliance with corporate policies and procedures.

Requirements Juris Doctor (JD) degree from an accredited law school. Minimum of 5 years of experience in real estate law, preferably with experience in a corporate legal department or a law firm specializing in real estate law. Strong knowledge of real estate law, including transactions, development, leasing, and finance. Excellent negotiation, drafting, and communication skills. Strong analytical and problem-solving abilities. Ability to manage multiple tasks and prioritize effectively. Detail-oriented with a high level of accuracy. Strong interpersonal skills and the ability to work well with various stakeholders. Familiarity with zoning, land use, environmental regulations, and property law.
