Job Summary The Director of Mergers & Acquisitions will be responsible for advancing and executing Woolpert's M&A strategy. Working closely with the CEO, President, CFO, and Woolpert's private equity partners at BDT&MSD Partners, you will support full-lifecycle M&A execution. You will identify and prioritize M&A targets, perform valuation analysis, assist in negotiations of transaction terms, manage due diligence and transaction documentation, and support integration, working closely with Woolpert's existing M&A integration team. Woolpert has successfully closed 13 acquisitions since 2019, including five international transactions, and emphasizes pursuing two to four extremely selective and high-quality acquisitions per year. Key to this role will be building relationships throughout Woolpert's operations and corporate support teams, with industry investment bankers and advisors, and with potential M&A prospects. Reporting Structure This senior role reports directly to Woolpert's President, who previously served as the company's Chief Corporate Development Officer and continues to lead Woolpert's overall M&A program in addition to business operations. This role will regularly engage with the executive leadership team and BDT&MSD Partners. Responsibilities Essential Duties and Responsibilities Strategy Development: Working closely with executive leadership and Woolpert's sector and market leaders, build and refine actionable M&A strategies in alignment with corporate objectives. Transaction Sourcing: Identify and prioritize prospective M&A targets and work with Woolpert's CEO and President on engagement strategies. Build relationships with industry investment bankers and advisors and other deal sources. Valuation and Negotiation: Prepare valuation models and transaction structures and support negotiation of Letters of Intent. Transaction Management: Manage all aspects of transaction execution, including due diligence and transaction documentation, working closely with Woolpert's outside advisors and legal counsel. Work directly with M&A targets to facilitate due diligence documentation requests and management and summarize due diligence findings.
