As a Global Subsidiary Governance Administrator you will have the opportunity to work with Leggett subsidiaries worldwide, as well as cross-functionally with other corporate departments, local foreign teams, legal counsel, and service providers. Your contributions will have a direct impact on the business by supporting the Legal and Corporate Secretary functions with entity management, governance, compliance, corporate transactions, and complex project management.

So, what will you be doing as a Global Subsidiary Governance Administrator?

  • Manage a broad spectrum of global subsidiary matters; formation, dissolution and restructuring of entities, branch offices and representative offices; draftwritten consents, resolutions, certifications, minutes, and other corporate documentation; prepare and file certificates of authority, good standing, business names, annual returns, beneficial owner registrations, statutory filings, certifications, director change registrations and compliance filings.
  • Manage and maintain corporate minute books.
  • Maintain the corporate entity management database.
  • Provide legal support and execution of global inter-company financing transactions, including loan agreements, distributions and capitalizations, annual repatriation process, maintenance of the corporate inter-company financing transactions database.
  • Collaborate closely with cross-functional and international teams, including external service providers and legal counsel, to manage and support projects.
  • Prepare and coordinate signatures, notarizations, legalizations, authentications, apostilles, powers of attorney, certified copies, corporate filings, and other corporate documents.
  • Provide support with mergers, acquisition, and disposition activity, including integration or exit of subsidiaries and managing the governance onboarding/offboarding process.
  • Field and respond to requests for information or assistance with Know Your Customer (KYC) inquiries, intracompany agreements, secretary certificates, proof of good standing and other corporate matters.

To be successful in this role, youll need:

  • Excellentwritten and oral communication skills, with ability to interact with all levels of management and global partners with professionalism, tact, and diplomacy
  • Exceptional attention to detail with solid organizational and prioritization skills
  • Strong aptitude for problem-solving, resourcefulness and project management
  • Thrives in a fast-paced team environment, but also works well independently
  • Ability to perform well under stress and manage multiple priorities, tasks, and deadlines effectively
  • Ability to process highly confidential/sensitive data and maintain discretion
  • Notary or willingness to become a notary helpful, but not required
  • Proficient in MS Outlook, Word, and Excel
  • Bachelors degree, or upcoming graduate with strong academic achievement, required.
  • Relevant corporate or legal experience, ideally at a law firm or in-house corporate legal department at a multinational business preferred
  • Experience in international corporate entity governance with exposure to finance and tax a plus
